These Terms of Service (the “Terms”) are a binding agreement between you and Everix (the “Service”, “we”, “us”, or “our”), an automated Meta advertising assistant for businesses. By creating an account, connecting a Meta account, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of a company or other organization, you represent that you are authorized to bind it, and “you” refers to that organization.
Everix connects to your Meta (Facebook and Instagram) advertising account and helps you launch and continuously optimize ad campaigns. You provide the brand information, budgets, creative assets, target markets, and the goal for each campaign; the Service drafts ad copy, proposes campaign structure, publishes campaigns to Meta on your behalf, and manages ongoing optimization.
The Service is a software subscription. It is not an advertising agency and does not guarantee any advertising outcome. You retain ownership of your Meta account, your ad accounts, your Pages, and your creative assets, and you may disconnect at any time.
The Service uses automated systems, including AI language models, to draft ad copy and to make optimization decisions. To protect your money, we treat spend-increasing and spend-reducing actions differently: cost-reducing actions (pausing or stopping under-performing ads and ad sets) are applied automatically and logged, while any action that INCREASES spend beyond a budget you have already approved always asks for your explicit approval first.
Automated copy and decisions may contain errors. You are responsible for reviewing what goes live, for your ad spend, and for your results. The Service is provided on an “as is” and “as available” basis, with no guarantee of advertising performance, delivery, revenue, or return on ad spend. Advertising results depend on many factors outside our control, including Meta's systems, your creative, your offer, and market conditions.
You are responsible for complying with Meta's Advertising Standards and all applicable laws and regulations. You must not use the Service to advertise anything illegal, deceptive, infringing, or prohibited by Meta, or to distribute malware, spam, or content that violates the rights of others.
Special ad categories: if your ads relate to credit, employment, housing, social issues, elections, or politics, you must correctly declare the applicable special ad category. Misdeclaration can violate Meta policy and the law, and you are responsible for declaring it accurately.
Shared Meta developer application: all customers operate under a single shared Meta developer application. Policy violations by one account can affect the standing of that application for every customer. To protect the platform, we may suspend, restrict, or remove any account that puts the shared application or other customers at risk.
Account security: you are responsible for keeping your login email and account access secure, and for all activity that occurs under your account. Tell us promptly if you believe your account has been compromised.
Subscription fees for the Service are billed monthly in advance through our payment processor, Stripe; the billing entity for subscriptions is Bit Computing Pte. Ltd. (Singapore) — charges appear as “OPENCORD.AI” (its Stripe trading name) on the payment page and your card statement. Your plan and its price are shown at checkout and in your billing settings. Advertising spend is separate: Meta charges it directly to the payment method you hold with Meta — the Service never collects or holds your ad spend.
Fees are exclusive of taxes, which you are responsible for where applicable. We may change subscription prices; we will give you advance notice by email before a change takes effect, and the new price applies to your next billing cycle. If your payment fails, we may suspend spend-increasing features until billing is restored, while cost-reducing safeguards continue to run.
Refunds: subscription fees are non-refundable, except where a refund is required by applicable law.
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable during maintenance, updates, or events outside our reasonable control, including outages or changes at Meta, Stripe, or our hosting providers.
The Service is actively evolving and may include beta or experimental features. We may add, change, or remove features over time. Beta features are provided “as is”, may be less stable, and may be discontinued.
You may stop using the Service and disconnect your Meta account at any time from the Account page, and you may cancel your subscription as described in your billing settings. We may suspend or terminate your access if you violate these Terms or Meta policy, or to protect the Service, other customers, or the shared Meta developer application.
On termination we stop managing your campaigns. Any campaigns still live on Meta remain your responsibility — you should pause or manage them directly in Meta if you no longer want them running. Disconnecting removes the stored Meta access token and the connected asset identifiers (we retain only the authorizing Meta user ID needed to honor a later data-deletion request); remaining data is retained, deleted, or anonymized as described in our Privacy Policy.
To the maximum extent permitted by law, the Service and its operators are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or wasted ad spend, arising out of or relating to your use of the Service, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Service will not exceed the total subscription fees you actually paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless the Service and its operators from and against any claims, damages, liabilities, losses, and reasonable expenses (including legal fees) arising out of or related to: (a) your advertisements, creative assets, offers, landing pages, or other content; (b) your use of the Service; (c) your violation of these Terms, of applicable law, or of Meta's policies; or (d) your infringement of the rights of any third party.
The Service is operated under the name “Everix”. The Service is operated by Hangzhou Zhanlan Star Technology Co., Ltd. (杭州湛蓝星空科技有限公司). Subscription billing is handled on our behalf by Bit Computing Pte. Ltd., a company incorporated in Singapore, through our payment processor, Stripe. These Terms are governed by the laws of Singapore, without regard to its conflict-of-laws rules, and any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts of Singapore.
If a dispute arises, you agree to first contact us and attempt to resolve it informally in good faith. If it cannot be resolved that way, the dispute will be subject to the courts or dispute-resolution process of the jurisdiction identified above. Nothing here limits any non-waivable rights you have under the mandatory laws of your place of residence.
We may update these Terms from time to time. For material changes, we will notify you by email and post the updated Terms on this page with a new effective date. Your continued use of the Service after a change takes effect means you accept the updated Terms. If you do not agree, you should stop using the Service and may cancel your subscription.
These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service and supersede any prior agreements on that subject. If any provision is found unenforceable, the remaining provisions stay in full effect, and the unenforceable provision will be applied to the maximum extent permitted. Our failure to enforce any right is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
These Terms and our Privacy Policy may be made available in more than one language for your convenience. The English-language version is the authoritative and governing text. In the event of any conflict, ambiguity, or inconsistency between the English version and any translation, the English version controls.
